If you had a choice between installing WAA 1.9 on Windows Server 2008 or 
Windows Server 2003 which one would you choose?

Assume Apache will be used rather than IIS

Windows Server 2003 has a limited support lifecycle (see
http://support.microsoft.com/lifecycle/?p1=3198 for details), so I would go
for 2008.

Are you aware of any downside, any cautions or any issues installing WAA 
1.9 with Apache on Windows Server 2008?

No - running this setup for almost 12 months on a dedicated server without
problems.
